This User Agreement ("Agreement") is a legal contract between you and AmericanBusinessExchange.com and its owner and applies to the services available through AmericanBusinessExchange.com (collectively the "Services"). If you do not agree to be bound by the terms and conditions of this Agreement, please do not use or access the Services.
In this Agreement, "you" or "your" means any person or entity subscribing to and/or using the Services ("Users"). Unless otherwise stated, "American Business Exchange," "we", "our", or “site” will refer collectively to AmericanBusinessExchange.com and its owner.

About American Business Exchange
AmericanBusinessExchange.com was created with the intention of uniting ideas, entrepreneurs and investors from around the world. By creating and designing an effective online community for our registered members to interact, we are able to meet the demands of both entrepreneurs and investors in making wise financial decisions. In addition, we offer a plethora of online resources to our members, including educational tools, forums, and user rating of content, where we can successfully match together new entrepreneurs and existing business owners with investors worldwide. Likewise, investors can find thousands of investment opportunities in their fields of interest.
You must read, agree with, and accept all of the terms and conditions contained in this Agreement before you use any of the American Business Exchange services.
Registration
Registration as a member is not required in order to view or access most of the existing content on the American Business Exchange website. However, in order to partake in various American Business Exchange online services, such as posting financial requirements, replying to existing posts, interacting among members of forum(s), and/or submitting any other online content, you must become a registered member. Currently, registration is free of charge to users of American Business Exchange who wish to become active participants in daily postings and replies. American Business Exchange reserves the right to change or modify the registration policy at any given time, which may include implementing a monthly service charge for members.
You will be required to submit accurate information during the registration process. If at any time we believe that some or all of the information given is inaccurate or untrue, we reserve the right to suspend or terminate your account as well as all current and future use of our services. In addition, American Business Exchange also reserves the right to deny you a username if it is already registered, protected by intellectual property laws, and/ or is offensive towards other American Business Exchange community members.
During registration, each member is required to submit their e-mail address and other personal information. This is the e-mail account that will be used for any correspondence between you (the registered member) and American Business Exchange officers and/or you and other online community members. Each member is discouraged from abusing their membership privileges and from sending e-mails with inappropriate content, including, but not limited to, mass e-mail (spam) or other correspondence that contain irrelevant, repetitive, incorrect, or offensive content. For more information regarding membership conduct, please read the section titled “Membership Obligation and Conduct” that follows this segment.
Membership Structure and Fees
American Business Exchange is currently offering registeration services for free. However, American Business Exchange has adopted the following membership structure for other services. American Business Exchange reserves the right to change the structure and fees at any time with or without sufficient notice at its sole discretion..
Regular Membership - Free membership. Users can browse all posts, reply to private messages, and use other features like adding favorites, bulletins, etc. However, regular membership users will be restricted to contact other members.
Premium Membership - $25 for 30 days. With this membership, users will have access to an investor directory and can initiate up to five(5) contacts per day, in addition to all the features available with Regular Membership. Users will still be subject to our terms and conditions regarding spamming (sending same message to multiple users is considered spamming. See our policy regarding users who indulge in spamming).
Regular Listing/post
American Business Exchange will list your funding request or related needs for a small fee (please refer to our Advertising Rate Card). Users can activate and deactivate their posts at any time. Until the post is reviewed, the post will remain deactivated. If a post is edited after it is activated, it will be deactivated and reviewed again for the changes.
Featured Listing/post
American Business Exchange offers their members an opportunity to gain even more exposure of their listings/funding requests. For just US$25.00, a listing can be featured on the American Business Exchange Capital Wanted page for seven days. Once a request is posted, it will be reviewed and activated if it meets the American Business Exchange guidelines. The seven days will be calculated from the date of activation. After the seven days, the published request will be automatically returned to the pool of standard posts; however, it will always have a “Featured Listing” tag to distinguish it from regular posts. If a post is edited after it is activated, it will be reviewed again for the changes. Until the post is reviewed, the post will remain deactivated. However, the Featured Listing period will always be calculated from the first activation after the payment was made.
Acceptable Posts
American Business Exchange reserves the right to accept or reject any posts at its own discretion. The decision of American Business Exchange in such matters will be final and is not open to appeal. If your post is rejected, then any applicable fees will not be refunded unless the payment was made within 24 hours of rejection.If your post was accepted initially but rejected later due to changes made after initial acceptance, then any applicable fees will not be refunded unless the payment was made within 24 hours of rejection. Check the refund policy for all other cases.
Refund Policy
At American Business Exchange we make all the efforts to ensure that all registered users have a good experience in using the site. Users who register for Premium membership by paying the applicable fees can request a full refund within first 24 hours of payment. After the first 24 hours, we will not be able to refund any membership fees. This No-refund policy will be enforced without any exceptions.
Member Obligation and Conduct
American Business Exchange takes safety and privacy of all of its users seriously; therefore, registered members and visitors of American Business Exchange are subject to the following terms of use:
All active users must be 18 years and older to access this site. Only one user ID per individual will be granted. The unique user ID and password will enable the user to access the Services; therefore, they will be the only person who is authorized to use the account and will be held responsible for all activities under their account. Account access can only occur on one computer at any given time. Users who believe that there is unauthorized activity on their account should contact American Business Exchange immediately.
When you register with American Business Exchange, you are agreeing to disclose information that can be accessible by third parties. Therefore, members are strongly encouraged to be cautious when disclosing any personal information. Members should also avoid using public computers when accessing their account and are encouraged to completely logout of their account to avoid unauthorized access. In addition, members are not allowed to abuse, harass, threaten, impersonate, or intimidate other users of the American Business Exchange community.
You may not use American Business Exchange to conduct illegal or unauthorized activities, including, but not limited to, any unsolicited advertising, chain letters, or spam. International users must also agree to comply with all local laws regarding online conduct and acceptable online subject matters.
You are solely responsible for your conduct as well as any text, links, or other information ("Content") that you submit, post, and/or display on the American Business Exchange website. You are prohibited from modifying, adapting, or hacking into the American Business Exchange website or other online sites that falsely imply that it is associated with American Business Exchange. You must not, under any circumstances, violate any laws in your jurisdiction (including, but not limited to, intellectual property laws) when using the American Business Exchange website.
Membership to American Business Exchange increases an entrepreneur’s chance to raise capital and active investors to find prospective investment opportunities. Any business deal between parties, whether it is a sale or purchase of an investment, is considered to be a private transaction solely between the entrepreneurs and investors without the approval, participation, or authorization of American Business Exchange. The information on this website is provided solely for the convenience of its visitors and for no other purpose whatsoever. American Business Exchange does not make any guarantee and/ or warranty either express or implied as to the accuracy, completeness, veracity, reliability and/or reasonableness of any of the information contained on this website. Postings/Requests
American Business Exchange is under no obligation to review or validate any messages, information, or content ("Postings") that has been posted on the website by registered users and assumes no responsibility or liability relating to any such postings. However, American Business Exchange officers may, from time to time, monitor the postings on the site and remove any activities or entries that contain:
Unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, profane, hateful, racial, ethnic, or otherwise objectionable material of any kind, including, but not limited to, any material which encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, federal, or international law.
American Business Exchange may also reserve the right to remove any advertisements or solicitations of any kind, posted messages by users impersonating others, inappropriate personal information such as social security numbers, account numbers, addresses, or employer references, and/or messages made by non-authorized spokespersons purporting to speak on behalf of American Business Exchange. In addition, messages that offer unauthorized downloads of any copyrighted materials or private information, multiple messages placed within individual folders by the same user restating the same point, and chain letters of any kind will also be removed.
Furthermore, when posting online content, registered users should make sure that there is:
1.No excessive use of capital letters,
2.No personal requests or non-profit requests without return on investment,
3.No business advertisements or services of competitors,
4.No disclosure of equity, percent shares, share rates, etc.
American Business Exchange reserves the right to decline any posting that is believed to be inappropriate or violates posting guidelines.
Search engines and web crawlers
The information that is posted on American Business Exchange is routinely indexed by search engines and web crawlers (like Google, MSN, Yahoo, etc.). Therefore, when an online search is conducted, the information posted might show up in search results. This will increase the visibility of their posting to potential investors and throughout the World Wide Web. If you do not wish your posting to be made publicly available, then do not post any funding requests in the site.
Forward-Looking Statements
American Business Exchange may contain certain forward-looking statements throughout the website. Forward-looking statements are words or phrases that may mislead readers into believing that an action or event may come true. Such words include “may,” " predict," "will," "intend," etc. Due to the fact that forward-looking statements do not guarantee any claim that is made, they can be associated with a negative degree of risk and uncertainty. American Business Exchange specifically disclaims any liability (whether based in contract, tort, strict liability, or otherwise) for any indirect, incidental, consequential, or personal damages arising out of or in any way connected with access to or use of the site. In addition, American Business Exchange officers and staff are not liable for any indemnities of the Terms of Agreement and subscribed services (even if American Business Exchange had been advised of the possibility of such damages), including the liability associated with any viruses which may infect a user's computer equipment. American Business Exchange’s maximum liability arising out of or in connection with your use of its services and site, regardless of the cause of action (whether in contract, tort, breach of warranty, or otherwise), will not exceed your subscription fee, if any.
